Oakland Raiders Las Vegas Stadium Bonds Get Aa1 Rating - Visitor Data Bad News I was just informed by Clark County that the Oakland Raiders Las Vegas Stadium Bonds have received a Aa1 rating from Moody's Rating Agency, and the County expects to receive a similar rating from Standard and Poors. In that case, the bond rating would be AA+. That is exactly the rating I used in my many bond issue spreadsheet tests. So, there's a still a huge problem, and because of the latest Las Vegas Convention and Visitors Authority statistics continue to show a problem. February 2018 visitor statistics show a six-tenths of one percent drop off in total visitors compared to February 2017: 3,130,400 for 2018 versus 3,150,500 for 2017. And for the year to date, the LVCVA reports a 2.2 percent drop in 2018 from 2017. The upshot of all of this is continued watching of the market. As one County rep told me, not for attribution to source: "with respect to your notes regarding the room tax, we have performed and continue to perform various stress tests on the room tax revenues and the County’s ability to meet its debt and reserve requirements. This is a normal process, but given the somewhat unique characteristics of this transaction we have stressed our models even further. The purpose of this is to better understand the latitude that we will have under unexpected circumstances. These tests reflect that the very conservative protective features that we have built into the enabling legislation and the bond structure (coverage, reserves, conservative estimates, etc.) are reasonable safeguards against aberrations in future revenue performance." If the County can't meet the debt service requirements, it has informed me it will not be able to give the Raiders all of the $750 million for the Las Vegas NFL Stadium. The Raiders would have to fill in the monetary gap in some way. The overall problem of the too-small-room-tax-rate remains. And has the County on a constant watch for how the stadium hotel tax revenue is performing. Stay tuned.

At today's NFL Annual Owners Meeting, Davis, after emerging from the league meetings to get approval for financing for his Las Vegas development, was followed by a group of media members, including, as you can see, me. I turned my video camera on my iPhone on, but as fate would have it, the phone happened to ring (I don't put it on airplane mode so as not to miss a call from my elderly Mom), and that startled Davis. So, he popped off: "I don't want to talk to you. Only them (pointing at the small group of white male reporters - just being honest about the optics), privately. The obvious reason for Davis blast, aside from being stirred by a phone ringing, was my technical criticism of the Las Vegas project. For the record, as I wrote on other social media: For the record, I will continue to take a critical eye to the Oakland Raiders Las Vegas Stadium Project. I have never made it personal toward Mark Davis, and I never will. But while the project has its financing, it also is beset with some issues. They must be reported. The main issues are: The County financing: if the stadium hotel tax fails to bring in less than what Clark County projects, the County told me it would not release all of the money the Raiders need. What will the Raiders do about that? Stadium Site foundation: the history of the land there is such that both Mandalay Bay and Luxor have had settling problems that cost tens of millions to mitigate. What will the Raiders do to avoid this problem? The Decatur Fault: a live earthquake fault that starts just one block north of the stadium site and specifically, near Hacienda and Polaris - and stretches up for 13.4 miles. The question is, what will the Raiders do to make sure the stadium can withstand a 6.0 quake, not to mention a 3.0 quake? While quakes are not frequent, the point is to be ready, not to have it happen and discover the hard way the stadium can't take it. Dan Schwartz Interview - Nevada Treasurer, Candidate For Governor On Las Vegas Oakland Raiders Deal Dan Schwartz is the sitting Nevada Treasurer, having served in that capacity since 2015. The former Marine has threw his hat into the ring to run as a GOP candidate for Governor, seeking to replace the termed out Brian Sandoval. In this interview, we talked about what the Nevada Treasurer does, his objections to the deal that was crafted to bring the NFL's Oakland Raiders to Las Vegas (though he wants the Raiders in Sin City), his work in causing Nevada to avoid financing the poorly-financed Faraday Future factory, and his concern for the troubled Nevada education system. Among all candidates in the gubernatorial race, Mr. Schwartz is alone in wanting to actually cut the fiscal size of the Raiders deal, believing that the team should shoulder more of the monetary load in paying for its own stadium - and the public should direct that extra money to pay for education. "I am not sure I can stop the funding, he said to me, "but I can stop the roads," referring to the public's part of the deal where the Nevada Department of Transportation would pay for some road upgrades. In talking about the Raiders deal, Mr. Schwartz also promised to put curbs on the culture of lobbyists and legislators working only for their "pet projects" via a bipartisan approach and the use of the veto pen. He wants to start with repairing the Nevada education system. In our talk, Mr. Schwartz consistently raised the question of how Nevada could allow its education system to decrease to such a poor state - he wants to fix it. The Army Veteran and Princeton University graduate said one of his main motivations for running for Governor of Nevada was seeking the 15 lobbyists hired by Sheldon Adelson to make deals and push the Raiders Stadium project to what was a very close vote in a Republican-dominated Nevada Legislature at the time. Given that some portion of the planned Oakland Raiders Las Vegas Stadium may have to use imported steel, the guaranteed maximum price (not yet released to the public) will have to be adjusted upward. The question is how much? The word on the street is the tariff introduces price uncertainty into the picture and the overall verdict is that Infrastructure projects, like the Raiders NFL Stadium, will be more expensive to build. In the Raiders case, this impacts bond financing too. Stay tuned.

Chevron Ecuador Lawsuit: Steven Donziger Fraud Leads to Him Footing the Bill in Litigation
When Steven Donziger started out in attempting to perpetrate a fraud against Chevron in Ecuador, he wrote in his journal that he was going to make billions of dollars in legal fees and penalties from the oil company. Well, the shoe is now on the other foot: the fraud, bribery, extortion and the falsified scientific findings that Donziger and his plaintiffs team used against Chevron came to light. He became the poster boy after finding that he broke Racketing Influenced and Corrupt Organizations laws in his fraud against Chevron in the Ecuadorian Amazon. And, this past week, he had to pay the piper as well to the tune of $800,000 plus in fees to Chevron after he lost the RICO case in the second district of New York federal court. Here are some of the highlights: Judge Kaplan first reviewed the procedures of the case, in particular noting the fact that Donziger’s and his co-conspirators’ fraud was well-documented and that they were found liable after a trial and appeal in which they did not contest the facts. Judge Kaplan also discussed the facts leading up to the dispute, including Chevron’s costs, Donziger’s belated objections, and other irrelevant motions. Ultimately, the Court found that this case required the assistance of the Special Masters to help oversee it due to its complexity and the conduct of Donziger. The Court first found that Donziger’s objections to the court costs did not comply with relevant court rules, including Donziger’s insistence on submitting letter motions when doing so is expressly not allowed. On this basis, the Court denied all of Donziger’s arguments except those with respect to the Special Master fees, which the Court noted “raise at least some issues that may be decided on the existing record and without briefing.” Notwithstanding the fact that Donziger violated the rules, the Court still reviewed and dispatched Donziger’s other arguments, as well. The Court of Judge Lewis A. Kaplan held that Donziger’s argument about the availability of attorneys’ fees was irrelevant to the narrow question of the taxation of costs. Second, the Court held Donziger’s arguments about Guerra were irrelevant, and incorrect. The Court also noted that “the testimony of Judge Guerra was far from indispensable to the judgment rendered in this case,” because “this Court would have reached precisely the same result in this case even without the testimony of Alberto Guerra.” Third, the Court rejected Donziger’s request to transfer venue, noting that he never produced the SDNY complaint, and in any event it “would be immaterial here.” In particular, Judge Kaplan stated that “Judges have a duty to refer reliable evidence of professional misconduct by lawyers to relevant disciplinary authority.” Then Judge Kaplan rejected Donziger’s arguments that the imposition of costs would violate the First Amendment, that Judge Kaplan should recuse himself, and that Chevron was guilty of “fraud on the court” because of the Guerra testimony. The Court then analyzed and rejected Donziger’s claims to have “limited means.” Judge Kaplan noted that “Donziger has not carried, or even attempted to carry,” his burden to establish his financial hardship, noting his long history of making the same argument but never supporting it with any real evidence. Judge Kaplan also noted the presence of third-party funders: “Perhaps more fundamentally, Donziger’s focus on his supposed personal circumstances should not blind one to the fact that the litigation with Chevron, including this case, has been financed by third-party funders. And it is Donziger who, with limited and apparently now long past exceptions, essentially has controlled the money.” Likewise, Judge Kaplan rejected Donziger’s argument that costs should not be taxed because of the disparity in the parties’ resources, because even a very large disparity “does not justify denial or reduction of costs.” Judge Kaplan dismissed as irrelevant Donziger’s claims about environmental pollution in Ecuador, and rejected Donziger’s arguments that Chevron committed fraud on the court, and he specifically rejected the notion that Chevron somehow was involved in perjury. The Court reiterated that “there was abundant evidence … that Judge Guerra’s decision to cooperate with Chevron and, ultimately, to testify in this case would have exposed him and his family to serious risks to personal safety and security had they remained in Ecuador. His decision to testify effectively forced him to become an exile from his native country.” On this basis, the Court repeated its findings that Chevron’s payments to Guerra were reasonable and justified.
