Did Oakland Raiders Owner Mark Davis Lie About Coliseum Lease, Las Vegas Decision, At NFL Meeting? After his NFL organization was awarded the right to relocate to Las Vegas, Oakland Raiders Owner Mark Davis stepped up to the press conference podium to speak. In the process of throwing Oakland politicians under the bus, Mr. Davis also manufactured a story regarding when and why he decided to relocate to Sin City. This is what Mr. Davis said at Monday's press conference, and in response to this question: Q: Number two, when did this turn for you, that you started to say Las Vegas is where I’m going to go? Davis: I believe it turned during the L.A. part where, before the vote for Los Angeles, Oakland had an opportunity to come in and make a presentation to the league. They came in with a five-page piece of paper that had nothing to do with anything. They claimed that they would wait for us to lose the vote, then to come back and they would have all the leverage. We lost the vote, we came back to Oakland, we negotiated a one-year lease with two years of options and talked about getting together and talking about a long-term future together. A week later I got a call from one of the county board of supervisors telling me: ‘Mark, I’m sorry but the lease that we just negotiated, the three years of leases, are not going to be valid, and we’re going to raise the rent three times on you.’ At that point we ended up signing that lease anyway, but then decided we had to start looking elsewhere to see if we could find a long-term solution. That is actually not so. According to a document uploaded to the website Scribd on January 29th 2016 by Aubrey Clerkin, who was then with KSNV-TV as Digital Executive Producer and is now with CBS-3 Philadelphia as a news producer, in January of 2016, Oakland Raiders officials planned to meet with UNLV President Len Jessup and Las Vegas Sands representatives to look at a site the university bought on Tropicana Avenue near I-15. This is what the first three paragraphs of the UNLV document read: I have been notified that the Las Vegas Sands plans to publicly announce its support for a new special events stadium in Southern Nevada and they believe the 42 acres of land on Tropicana Avenue that UNLV recently purchased is a prime location....Correspondingly, the Sands leadership team let us know that officials from the Oakland Raiders are scheduled to travel to Las Vegas and tour locations around the valley for a potential new home and they have asked us to meet them at our 42‐acre site on Friday morning to answer questions about that site. By contrast, the Raiders signed the Oakland Coliseum Lease Extension April 7, 2016 – the date after which Mark Davis claimed “we had to start looking elsewhere to see if we could find a long-term solution” during his speech at the NFL Annual Meeting. In other words, the Oakland Raiders had already decided that their “long-term solution” was not in Oakland, but in Las Vegas, and did so at least four months before Mark Davis signed the Oakland Coliseum Lease Extension. Las Vegas political blogger John Ralston wrote a post entitled “Sands to partner with UNLV on stadium, hope to bring Raiders here” and based on the Clerkin document. The only other media publication to find the Clerkin document was the blog Deadspin. Thus, the news that the Raiders were seeking a new home outside of Oakland was not at all widely known, yet four months later Davis signed the lease extention, then claimed that the Raiders “ decided we had to start looking elsewhere to see if we could find a long-term solution”. Yeah. Right. Start looking? The Raiders were already looking, and settled on Las Vegas months earlier. Another Good Faith Dealing Problem For The Oakland Raiders This points to an overall problem of not dealing in good faith on the part of Mark Davis. In this case, first, he did not reveal his true intentions of seeking team relocation to Oakland Officials. Second, he signed a lease with the Oakland Coliseum and stated the intent to work toward a new stadium, even as his actions proved he didn't want to plan for a new stadium in Oakland. Oakland Raiders Las Vegas Stadium Shows $27 Million Annual Loss With BofA Loan In the original Southern Nevada Tourism and Infrastructure Committee Staff Model that was presented to the SNTIC on July 11, 2016, the document issued to the SNTIC reported that of the $264 million in expected total annual stadium revenue for the planned NFL Oakland Raiders UNLV Facility, 11.7 percent was retained by the stadium operator, or $31.14 million per year (page 16 of the SNTIC document here: http://ift.tt/2jsYFAl) With that SNTIC Model, what would the impact be of a Bank Of America loan of $650 million over 20 years, with the interest rate at 414 basis points on the annual stadium operating cash flow? Inserting that those loan terms into a spreadsheet of the SNTIC model, the free stadium operating cash flow that was at $5,427,364 is now at -$27,072,104. In other words, the Las Vegas Oakland Raiders Stadium Project starts out in the red by -$27 million. How can we change this so the project balances at zero, let alone show a surplus cash flow? Well, the original SNTIC Model had $12 million of annual debt service, but never really explained where that came from. So let's, for the sake of argument, eliminate it, and have only the Bank Of America annual loan debt of $32.5 million. The result is still a negative stadium cash flow to the tune of -$15,072,104. The question is, what is taken out of that $264 million? Well, the SNTIC report said that the NFL Team got 70.8 percent of all non-event revenues, or the net of Naming Rights, Catered Events, Team Online Sales, Advertising & Sponsorship, Facility Tours, Non-Team Game Day Sales – the stadium operator retained 27.5 percent, with advertising and sponsorship revenues the most critical items. The Raiders Rent Issue Causes A Bigger Problem For Stadium Cash Flows Of the $31 million in annual total stadium revenue retained by the stadium operator, $8,992,037 was facility rent. So since the Raiders don't want to pay rent according to their proposed lease, let's, for the sake of argument, take that out of our SNTIC-based model, too. That leaves the stadium cash balance at a negative -$24,064,141. The only way the Oakland Raiders could even realize a better cash balance is to give up its entire expected share of annual suite revenue, or $22 million, either in the base case with the SNTIC $12 million debt, or the example where facility rent was set to zero, and the SNTIC $12 million debt was removed. In the latter instance, the cash balance is still negative, although it's -$2 million. Bank Of America is a mouth to feed here, because the debt casues the Oakland Raiders to part with a giant revenue stream. Even if Bank Of America elected to trade naming rights for the bond, then that is money the Raiders would give up. In the SNTIC Model, naming rights were assumed to be $7.38 million annually, of which the Raiders retained $5.53 million and stadium operator $1.84 millon, or a total of $221.4 million over 30 years. If Bank Of America elected to exchange a loan for naming rights (which is unheard of) they would undoutedly want so much of the stadium branded that it could crowd out other sponsorship deals. And how would that impact supposed stadium partner UNLV? In short, working to shift the shares of revenue to fit this loan proves to yield more negative outcomes for the stadium cash flow for the proposed NFL stadium. The only real way to solve the problem is via external development, and that's not at all in the proposal at this point. And if it were, the developer would still seek a percentage. With stadium costs as high as they are, you have to share revenues – you have to feed more than one mouth. This deal, absent development, does not pencil out without some major sacrafices. More development, more suites, equals a question of if the already flimsy Las Vegas Metropolitan Area Economy can create demand for them – if it can't, then the deal is even worse. It's a bad deal. Oakland Raiders vs Las Vegas And NFL In Stadium Lease Game Of "I Screw You, First" Turns out The Oakland Raiders weren't trying to pull a fast one on just Sheldon Adelson, but on the Las Vegas Stadium Authority – Clark County Stadium Authority. If you read the actual Nevada Senate legislation that gave birth to the provision for a $750 million subsidy for an NFL stadium (ostensibly) for the Oakland Raiders, it calls for the creation of a “Stadium Events Company.” Under the Nevada Legislation called SB1 and passed October 16th of 2016, there is called for a “Stadium Events Company”. The idea is that the organization is to be formed by the “developer” a letter from Jeremy Aguero of Applied Analysis, who has served as staff to the Las Vegas Stadium Authority, explained the desired relationship in this way: “The second agreement is a stadium operating agreement, or lease agreement, outlining several issues, including the day to day operations of the stadium, appropriate access for UNLV and ongoing facility maintenance. That agreement is between the LVSA and a Stadium Events Company. The Stadium Events Company could be owned by the Development Partners; it could also be a related third party. Notably, the Southern Nevada Tourism Improvement Act specifically requires that any and all stadium operating cost overruns be borne solely by the Stadium Events Company. Section 29(3) of the Act also requires the agreement include that “the term of any lease or sublease entered into by the Stadium Events Company with the National Football League team must be at least 30 years” and “provide for the accommodation of a sufficient number of dates to host at the project the regular and postseason home games of (UNLV) football.” I believe it is worth reiterating that because the LVSA will not receive any rental revenue and because the Development Partners and the Stadium Events Company are solely responsible for all development and operating cost overruns, the rental rate provided in the draft Stadium Use Agreement and highlighted in media accounts is not a meaningful consideration.” But where Jeremy Aguero is wrong is in that the Oakland Raiders themselves view the Stadium Events Company as a “person” and not a company – that idea was specifically noted in the draft lease proposal. Moreover, the Oakland Raiders draft lease proposal goes on to specifically describe the Stadium Events Company as a representative of the Stadium Authority, and views the two as interchangable. The lease proposal also assigns formaton of the Stadium Events Company to the Stadium Authority, and not the developer or the team. This is an obvious attempt by the Raiders to avoid responsibility for any stadium operating cost overruns and place that load on the Las Vegas Stadium Authority. Thus, my claim that the Stadium Authority could 'go broke” under the Raiders lease agreement was correct, and Aguero's letter was (with all due respect) wrong. The Raiders have reportedly drafted a new stadium lease agreement proposal – but it has not been presented to the Las Vegas Stadium Authority. Indeed, since the Raiders are also presenting their Las Vegas proposal to the NFL's Stadium and Finance Committee on Monday, yet the Authority's meeting is on Thursday, they're walking into the NFL meeting without an approved document. And a nasty situation of who screws whom, first. Stay tuned.
